Terms of Trade

These Terms of Trade apply to all commercial engagements between Al-Mulhem Contracting (“we”, “us”, “our”) and our clients (“you”, “your”) for construction, fit-out, and related services in the Kingdom of Saudi Arabia and other territories where we operate.
1. Quotations and Contracts
Quotations are valid for the period stated and are subject to the terms set out in the quotation and any subsequent contract. A binding contract is formed only when both parties have signed a formal contract or purchase order, or when work has commenced with your approval. All work is carried out in accordance with our standard terms unless otherwise agreed in writing.
2. Price and Payment
Prices are as quoted and may be subject to adjustments for variations, change orders, or unforeseen conditions as set out in the contract. Payment terms will be specified in the contract (e.g. milestone-based or post-completion). Invoices are due within the period stated (e.g. 30 days from invoice date) unless otherwise agreed. We reserve the right to charge interest on overdue amounts and to suspend work until payment is received.
3. Delivery and Performance
We will use reasonable endeavours to meet agreed programmes and delivery dates. Time is not of the essence unless expressly stated in the contract. Delays caused by factors beyond our control (including client delays, authority approvals, or force majeure) may extend the programme and will not constitute a breach on our part.
4. Quality and Defects
We perform work in accordance with applicable standards and the contract specifications. You must notify us in writing of any defects within the defect liability period specified in the contract. We will rectify genuine defects in accordance with our obligations. We are not liable for defects arising from your design, specifications, or misuse.
5. Limitation of Liability
Our liability under or in connection with the contract is limited to the contract price or the amount of our professional indemnity/insurance cover where applicable, and we are not liable for indirect, consequential, or punitive losses. These limitations apply to the fullest extent permitted by law.
6. Governing Law and Disputes
These terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved in the courts of Saudi Arabia, or by arbitration if so agreed in the contract.
